These Terms of Service ("Terms") govern your use of the AdsBabe website and video ad creation services provided by AdsBabe, Inc. ("AdsBabe," "we," "our," or "us"). By accessing our website or using our services, you agree to these Terms.

1. Services

AdsBabe provides professional video ad creation services for affiliate marketers, including:

• Custom video ad production for Facebook, TikTok, YouTube, and other platforms
• Video variants and adaptations of existing creatives
• Script writing, voiceover, editing, and post-production
• Multi-format delivery (9:16, 1:1, 16:9, 4:5 aspect ratios)

2. Account and Registration

To use our services, you must:

• Be at least 18 years old
• Provide accurate and complete information
• Maintain the security of your account credentials
• Notify us immediately of any unauthorized access

You are responsible for all activities that occur under your account.

3. Ordering and Payment

Pricing

• Brand new video ads: $50 per video
• Video variants: $20 per variant
• Prices are subject to change with notice
• All prices are in U.S. dollars

Payment Terms

• Payment is required upfront before production begins
• We accept credit cards (via Stripe) and PayPal
• All sales are final unless otherwise stated in our Refund Policy
• You are responsible for any applicable taxes

4. Service Delivery

Timeline

• Video ads are delivered within up to 72 hours of order confirmation
• Delivery times are estimates, not guarantees
• Rush orders may be available for an additional fee

Revisions

• Each $50 video includes 2 revisions
• Revision requests must be submitted within 14 days of delivery
• Additional revisions may be available for a fee
• Revisions must be clearly specified and reasonable in scope

Video Variants — Scope Changes

The scope of a Video Variants order is defined at the time of checkout. Once production has begun, changes that fall outside the original order scope cannot be accommodated as part of the same order.

• Any out-of-scope request will be quoted and treated as a separate new order.
• The original payment is non-refundable once production has started.

Delivery Format

• Final videos are delivered via download link
• Files are provided in MP4 format, high quality
• All requested aspect ratios are included
• Download links expire after 90 days

5. Your Responsibilities

You agree to:

• Provide clear, complete project requirements and materials
• Ensure you have rights to any materials you provide
• Respond to our inquiries in a timely manner
• Use the video ads in compliance with all applicable laws
• Not request content that is illegal, defamatory, or violates third-party rights
• Comply with advertising platform policies (Facebook, TikTok, etc.)

6. Intellectual Property Rights

Your Content

You retain ownership of any materials you provide to us (images, logos, scripts, etc.). By providing materials, you grant us a license to use them solely for creating your video ads.

Final Deliverables

Upon full payment, you receive:

• A non-exclusive, worldwide license to use the final video ads
• Right to modify the videos for your advertising purposes
• Right to use the videos across any advertising platform

Our Rights

We retain:

• Ownership of our production processes and techniques
• Right to use completed work in our portfolio (with your permission)
• Rights to stock footage, music, and third-party assets used

7. Prohibited Uses

You may not use our services to create content that:

• Violates any law or regulation
• Infringes third-party intellectual property rights
• Contains false, misleading, or deceptive claims
• Promotes illegal activities or substances
• Contains adult content, violence, or hate speech
• Violates advertising platform policies
• Impersonates any person or entity

We reserve the right to refuse service for prohibited content.

8. Warranties and Disclaimers

We warrant that:

• Services will be performed with reasonable skill and care
• We have the right to license any stock materials used
• Final deliverables will not infringe third-party rights (to our knowledge)

DISCLAIMER: EXCEPT AS EXPRESSLY STATED, OUR SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DO NOT GUARANTEE SPECIFIC RESULTS, CONVERSIONS, OR ROI FROM YOUR VIDEO ADS.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

• OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID FOR THE SPECIFIC SERVICE
• WE ARE NOT LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, OR SPECIAL DAMAGES
• WE ARE NOT LIABLE FOR LOST PROFITS, REVENUE, OR BUSINESS OPPORTUNITIES
• WE ARE NOT RESPONSIBLE FOR AD ACCOUNT BANS OR PLATFORM POLICY VIOLATIONS

10. Indemnification

You agree to indemnify and hold harmless AdsBabe, Inc. and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from:

• Your use of our services
• Your violation of these Terms
• Your violation of any laws or third-party rights
• Materials you provide to us

11. Termination

We may terminate or suspend your access to our services immediately if you:

• Violate these Terms
• Provide false information
• Engage in fraudulent activity
• Abuse our services or staff

Upon termination, you remain liable for any outstanding payments.

12. Confidentiality

We will keep your project details, business information, and creative materials confidential. We will not share your information with third parties except as necessary to provide services or as required by law.

13. Dispute Resolution

Governing Law

These Terms are governed by the laws of the State of Wyoming, United States, without regard to conflict of law principles.

Arbitration

Any disputes arising from these Terms or our services shall be resolved through binding arbitration in Sheridan, Wyoming, in accordance with the rules of the American Arbitration Association.

Exceptions

Either party may seek injunctive relief in court for intellectual property matters.

14. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on our website. Your continued use of our services constitutes acceptance of the modified Terms.

15. Miscellaneous

Entire Agreement

These Terms constitute the entire agreement between you and AdsBabe regarding our services.

Severability

If any provision of these Terms is found invalid or unenforceable, the remaining provisions will remain in effect.

Waiver

Our failure to enforce any right or provision does not constitute a waiver of that right or provision.

Assignment

You may not assign or transfer these Terms without our written consent. We may assign our rights and obligations without restriction.
